REpower Systems AG: AE-Rotor Holding B.V. Requests Squeeze Out of Minority Shareholders (Germany)

Today, AE-Rotor Holding B.V. informed REpower Systems AG that it is holding shares amounting to more than 95% of the registered share capital of REpower Systems AG.

At the same time, AE-Rotor Holding B.V. requested that the general meeting of REpower Systems AG shall pass a resolution on the transfer of the shares held by the remaining shareholders (minority shareholders) to AE-Rotor Holding B.V. in return for an appropriate cash compensation in compliance with § 327a para. 1 German Corporate Law (Aktiengesetz). According to the request, such resolution shall be passed in the next general meeting of REpower Systems AG.
